1. Service Provider Identification and Scope

These Terms of Service (hereinafter, 'T&S') govern the purchase of products and services offered through the website https://simufy.com (hereinafter, the 'Website'), owned by SAPRO TRADING, S.L. (hereinafter, 'SIMUFY'), Tax ID B67553040, registered address Ctra. BV-2131 Km. 7,2, 08787 Orpí, Barcelona, Spain, registered in the Commercial Registry of Barcelona (volume 47166, folio 110, sheet 543317).

These T&S are issued in compliance with Spanish Law 34/2002 (LSSI-CE), the consolidated text of the General Law for the Defence of Consumers and Users (TRLGDCU) and other applicable e-commerce legislation.

Purchasing any product or service through the Website implies express, unreserved acceptance of these T&S and all Website policies (Legal Notice, Privacy Policy, Cookie Policy, Shipping and Delivery Policy, Returns and Refunds Policy).

2. Subject Matter

The Website provides the User with the commercialisation, distribution and associated technical services for hardware, software and solutions for motorsport simulation, professional engineering simulation, interactive entertainment and related products and accessories.

The essential characteristics of each product are described in the corresponding product page on the Website.

3. Definition of User and Personal Scope

For the purposes of these T&S:

• Consumer User: a natural person contracting outside the scope of a commercial, business, trade or professional activity, in accordance with TRLGDCU art. 3.
• Professional User: a natural or legal person contracting in the course of their business or professional activity. B2B purchases require identification as a business entity during the purchase process.
• User: generically, either of the two categories above.

The User declares to be of legal age (18 years) and to have sufficient legal capacity to contract.

4. Pre-contractual Information (TRLGDCU art. 97)

In compliance with TRLGDCU art. 97, SIMUFY provides the User, before being bound by any distance contract, with:

• The main characteristics of the products: in each product page on the Website.
• The service provider's identity and contact details: as per Section 1.
• The total price of the product, including applicable taxes and all additional charges, shown before order confirmation.
• The payment, delivery and contract performance procedure: as per Sections 6 and 7 and the Shipping and Delivery Policy.
• The right of withdrawal, its conditions, period and exercise procedure: as per the Returns and Refunds Policy and Annex 1.
• The legal conformity guarantee (3 years for new products, 1 year for refurbished): as per the Returns and Refunds Policy.
• Where applicable, manufacturer commercial guarantees and their conditions.
• The complaints and disputes procedure and access to out-of-court resolution: as per Section 16.
• Contract language: Spanish.

5. Contracting Process (LSSI arts. 27 and 28)

5.1 Contracting steps

• Product selection and addition to the shopping cart.
• Entry of delivery and billing details.
• Selection of payment method and delivery option.
• Order review and express acceptance of T&S, Privacy Policy and, where applicable, specific pre-order or reduced warranty checkbox.
• Payment confirmation and processing.
• Receipt of order confirmation email.

5.2 Contract filing and error correction

The electronic contract document will be filed by SIMUFY and the User may request a copy at any time by emailing info@simufy.com. The User may identify and correct data entry errors at each step before final order confirmation.

5.3 User Account

The User may create an account on the Website or complete the purchase as a guest. The User is responsible for keeping their access credentials confidential and must immediately notify SIMUFY of any misuse at info@simufy.com.

The User may request account deletion at any time by contacting privacidad@simufy.com or through their user panel.

6. Prices and Payment Methods

6.1 Prices

Prices are shown in euros and include applicable VAT for Users accessing from mainland Spain or any other EU territory. For Users accessing from outside the EU, or from the Canary Islands, Ceuta or Melilla, prices will be shown excluding VAT; the User is responsible for applicable destination duties and taxes.

Price reductions and promotions. In any announcement of a price reduction, SIMUFY will indicate the lowest previous price applied during the 30 days prior to the reduction, in accordance with applicable Spanish retail trade legislation.

6.2 Pricing errors

In the exceptional case where a manifestly incorrect price is displayed due to a typographical, technical or human error, SIMUFY reserves the right to cancel the affected order, informing the User and issuing a full refund.

6.3 Payment methods

• Bank card (Visa, MasterCard, American Express) via Shopify Payments or Stripe.
• PayPal.
• Bank transfer.
• Deferred payment via Klarna or Aplazame, subject to each entity's eligibility requirements.

Payment is deemed completed upon SIMUFY's actual receipt of funds. Products will not be reserved in available stock until this point. SIMUFY does not store full banking details.

6.4 Deferred payment with Klarna

Deferred payment via Klarna Bank AB (publ) is offered according to the conditions displayed at checkout. The financing agreement is concluded directly between the User and Klarna; SIMUFY acts solely as a commercial intermediary.

6.5 Deferred payment with Aplazame

Deferred payment via Aplazame, S.L. is offered according to current conditions. Financial terms (nominal rate, APR, fees) will be displayed before payment finalisation. The financing agreement is concluded directly between the User and Aplazame; SIMUFY acts solely as a commercial intermediary.

6.6 Electronic invoicing

SIMUFY will issue an electronic invoice in PDF format sent to the User's registered email address. The User may request a paper invoice or structured format (Facturae) by contacting info@simufy.com.

7. Availability, Reservations and Pre-orders

• Products are subject to availability. In the event of unforeseen unavailability, SIMUFY will inform the User and issue a full refund, or, with the User's express consent, offer an alternative.
• Pre-order: products sold on a pre-order basis are governed by the specific conditions in the Shipping and Delivery Policy, particularly regarding the estimated delivery date and the express agreement under applicable Spanish consumer law.
• PC Custom and TREQ: custom-built PC products and TREQ-brand products are subject to specific preparation and availability timelines detailed in the Shipping and Delivery Policy.
• Promotions are valid for the period stated on the Website; orders will not be processed under expired promotions.
• SIMUFY reserves the right to restrict sales to certain regions or to limit quantities for operational, logistical, customs or sanctions-related reasons.

8. Shipping and Delivery

Shipping conditions, timelines, applicable taxes, transfer of risk and the specific pre-order regime are governed by the Shipping and Delivery Policy, which forms an integral part of these T&S.

9. Right of Withdrawal and Legal Guarantee

The Consumer User's right of withdrawal, its consequences, the depreciation deduction and the legal conformity guarantee are governed by the Returns and Refunds Policy, which forms an integral part of these T&S.

Legal guarantee reminder. Consumer Users are expressly reminded that they have a legal conformity guarantee against SIMUFY of 3 years for new products (from 1 January 2022) and 1 year for refurbished products, independently of any commercial guarantee offered by the manufacturer.

10. Economic Operator in the European Union

For the purposes of EU Regulation 2019/1020 on market surveillance and product compliance, SAPRO TRADING, S.L. acts as the responsible economic operator established in the Union for certain products imported from manufacturers based outside the EU. The economic operator's identifying details appear on the product label or accompanying commercial documentation.

11. Safe Use of Products

High-performance simulation products sold by SIMUFY (high-torque steering bases, hydraulic pedals, motion systems and other peripherals) can generate significant forces capable of causing injury if not used correctly.

The User undertakes to:

• Read the manufacturer's manual before first use.
• Install the product following the instructions and using appropriate fasteners and safety elements.
• Configure force levels progressively, starting from low values.
• Always supervise use by minors.
• Not use the product under the influence of alcohol, sedative medications or reflex-impairing substances.
• Observe the specific safety indications of each product and the manufacturer's warnings.

SIMUFY is not liable for damage resulting from incorrect use of the product contrary to the manufacturer's instructions or normal conditions of use.

12. Customer Reviews and Ratings

In compliance with unfair commercial practices legislation following the transposition of Directive (EU) 2019/2161 (Omnibus Directive) in Spain:

• Reviews from third-party platforms (Google Reviews, Trustpilot, etc.) are collected by those platforms under their own verification procedures.
• SIMUFY's own product reviews come exclusively from customers who have actually purchased the product.
• SIMUFY does not incentivise reviews with economic compensation or material advantage, and does not selectively publish or remove reviews based on content, except for manifestly false, defamatory, offensive or unlawful reviews.

13. Intellectual and Industrial Property

The Website's graphic design, source code, original texts, proprietary photographs and other original elements are the exclusive property of SAPRO TRADING, S.L. or used under licence. Third-party brand names, trademarks and logos are used under applicable distribution agreements in accordance with Article 37 of the Spanish Trade Mark Act. Full details are in the Website's Legal Notice.

14. User Conduct

The User undertakes to make lawful, diligent and proper use of the Website, in particular:

• Provide truthful, accurate, complete and up-to-date data.
• Not use the Website for fraudulent or unlawful purposes.
• Not introduce viruses, malware or any harmful elements.
• Not attempt to access restricted areas or circumvent security measures.
• Not take actions aimed at disrupting the service.
• Not reproduce, copy, distribute or commercially exploit any part of the Website without written authorisation.
• Act in accordance with the good faith requirements of Spanish Civil Code art. 7.

15. Unpaid Balances and Account Suspension

SIMUFY may suspend the account of Users with outstanding unpaid balances or whose conduct breaches these T&S. The account will be reinstated once the situation is resolved.

16. Complaints and Out-of-Court Resolution

The User may submit complaints and claims to SIMUFY via: email info@simufy.com or by post to SAPRO TRADING, S.L., Ctra. BV-2131 Km. 7,2, 08787 Orpí, Barcelona, Spain.

SIMUFY will acknowledge receipt within 7 days and resolve complaints within 30 days of receipt.

• Catalan Consumer Agency or the relevant Consumer Arbitration Board.

SIMUFY is not a member of any consumer arbitration scheme.

Amicable dispute resolution. Without prejudice to the User's right to resort to judicial proceedings, the Parties will endeavour to seek a prior amicable solution through direct negotiation or mediation.

17. Force Majeure

SIMUFY will not be liable for failure to perform its obligations due to force majeure or unforeseeable circumstances, including: transport or postal sector strikes; floods, fires, pandemics, armed conflicts, terrorism; international sanctions or embargoes; unforeseen customs restrictions; governmental decisions preventing contract performance; cyberattacks.

In such cases, SIMUFY will notify the User and the Parties will agree in good faith on temporary suspension, modification or termination of the contract with a full refund if performance becomes impossible.

18. Limitation of Liability

Without prejudice to non-excludable consumer liabilities (defective product liability under TRLGDCU Book III, and the legal conformity guarantee), SIMUFY will not be liable for indirect damages, loss of profit, loss of business opportunities, data loss or consequential damages beyond the value of the specific product subject to the claim.

This limitation does not apply to personal injury caused by products.

19. Personal Data Protection

The processing of personal data is governed by the Privacy Policy, forming an integral part of these T&S. Cookie use is governed by the Cookie Policy.

20. Amendments

• SIMUFY reserves the right to amend these T&S by publishing the updated version on the Website. Amendments only apply to purchases made after publication.
• Where amendments substantially affect the rights or obligations of registered Users, SIMUFY will notify them by email at least 15 days before they take effect. Users may cancel their account if they do not accept the changes.

21. Entire Agreement and Integration of Policies

The contractual agreement between SIMUFY and the User comprises:

• These Terms of Service.
• The Shipping and Delivery Policy.
• The Returns and Refunds Policy.
• The Privacy Policy.
• The Cookie Policy.
• The Legal Notice.
• Where applicable, specific agreements with the User (e.g. financing agreements with Klarna or Aplazame).

22. Severability Clause

If any provision of these T&S is declared null or unenforceable by a competent authority, the remaining provisions shall remain in full force and effect.

23. Contract Language

These T&S are published in Spanish, which is the official language of the contract. Translations provided for the User's convenience shall not have contractual value; the Spanish version prevails in case of conflict.

24. Applicable Law and Jurisdiction

• These T&S are governed by Spanish law.
• Consumer Users resident in Spain: courts of the consumer's place of domicile.
• Consumer Users resident in other EU Member States: EU Regulation 1215/2012.
• Professional Users (B2B): courts of Barcelona, Spain, with express waiver of any other jurisdiction.
